What is an Accredited Investor?
As defined by the SEC in Rule 501 (a) of Regulation D, an investor is accredited if they meet at least one of the following criteria
- An Individual (i.e. a natural person and not a partnership, corporation, trust) whose individual net worth or joint net worth together with the investor's spouse, at the time of purchase exceeds $1,000,000.
Explanation: In calculating net worth you may include cash, short term investments, stocks and other securities. You may not include the equity or value of primary residence, furnishings or autos.
- The investor is an individual (i.e. a natural person and not a partnership, corporation, trust) who reasonably expects an individual annual income in excess of $200,000 (excluding income of spouse), or joint income with the investor's spouse in excess of $300,000, in the current year and had an individual income in excess of $200,000 (excluding income of spouse), or joint income with the investor's spouse in excess of $300,000 in each of the last two years.
Explanation: Individual income means an adjusted gross income as reported for federal tax purposes, less any income earned by a spouse or by property owned by a spouse, increased by the amount of any tax-exempt interest income received (but not including any tax-exempt interest income received by a spouse).
- The investor is a trust with total assets in excess of $5,000,000 not formed for the specific purpose of acquiring the securities of the purchase, if the securities is directed by a person who either alone or with his/her investor representative(s) has such knowledge and experience in financial and business matters that he/she is capable of evaluating the merits of an investment in the securities.
Explanation: An irrevocable trust can qualify under this category if the criteria stated above are met. A revocable trust can qualify under category 4.
- The investor is an entity, all the equity owners of which are accredited investors within one or more of the above categories.
Why Does it Matter?
Certain alternative investments are only offered to accredited investors per requirements set and enforced by the SEC.
